1. Introduction
Welcome to Apelo. These Terms of Service ("Terms") govern your access to and use of the Apelo website, services, and applications (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the Service.
2. Definitions
"Service" refers to the web-based platform accessible at apelo.io, branded as "Apelo", which allows users to create and test stock market models without coding.
"User" refers to individuals who access or use the Service.
"Subscription" refers to the paid access to premium features of the Service.
3. Eligibility and Age Restrictions
Minimum Age Requirement: You must be at least 13 years old to use the Service. By accessing, registering for, or using the Service, you represent and warrant that you are at least 13 years of age.
No Use by Children Under 13: The Service is not intended for, and may not be used by, anyone under the age of 13. We do not knowingly collect personal information from children under 13. If we become aware that a user is under 13 years of age, we will take steps to terminate the account and delete any associated information as required by law.
Compliance with COPPA: By using the Service, you acknowledge and agree that you are responsible for complying with all applicable laws, including the Children’s Online Privacy Protection Act (COPPA). If you are a parent or guardian and believe that your child under 13 has provided us with personal information, please contact us immediately at support@apelo.io.
4. Account Registration
To access certain features of the Service, you must register for an account. You may not register for an account or use the Service if you are under 13 years of age. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party.
5. Subscriptions
Some parts of the Service are billed on a subscription basis ("Subscription"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select.
At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or we cancel it. You may cancel your Subscription renewal either through your online account management page or by contacting our customer support team.
A valid payment method, including credit card, is required to process the payment for your Subscription. You shall provide accurate and complete billing information including full name, address, state, zip code, telephone number, and valid payment method information.
6. Free Trial
We may, at our sole discretion, offer a Subscription with a free trial for a limited period of time ("Free Trial"). You may be required to enter your billing information in order to sign up for the Free Trial.
If you do enter your billing information when signing up for the Free Trial, you will not be charged until the Free Trial has expired. On the last day of the Free Trial period, unless you cancelled your Subscription, you will be automatically charged the applicable subscription fee for the type of Subscription you have selected.
7. Fee Changes
We, in our sole discretion and at any time, may modify the Subscription fees for the Subscriptions. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.
We will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective.
Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
8. Refunds
Certain refund requests for Subscriptions may be considered on a case-by-case basis and granted at our sole discretion. We are not obligated to provide refunds or credits for partial months of service, refunds for months unused with an open account, or refunds for any other reason.
9. Content
Our Service allows you to create and store content, including models, strategies, and other materials (collectively, "Content"). You are responsible for the Content that you create or share through the Service.
By creating or sharing Content through the Service, you represent and warrant that:
- You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use all intellectual property rights in and to any Content.
- The Content does not violate any third-party rights, including intellectual property rights and privacy rights.
- The Content complies with these Terms and all applicable laws and regulations.
10. Intellectual Property
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Apelo and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.
Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Apelo.
11. Limitation of Liability
In no event shall Apelo, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service; and
- Unauthorized access, use or alteration of your transmissions or content.
12. Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement or course of performance.
Apelo does not warrant that: (a) the Service will function uninterrupted, secure or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; or (d) the results of using the Service will meet your requirements.
The information provided through the Service is not intended to be investment advice. Apelo is not a registered investment advisor and does not provide investment advice or recommendations. The Service is a tool for technical analysis and should not be relied upon as the sole basis for any investment decision.

14. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
